Blackout Dev is seeking Counsel that will serve as the Regional General Legal Counsel for a Chicago-rooted startup opening an office in Warsaw, Poland to serve as its technology backbone.
The company will be primarily focused on Enterprise Software for the eCommerce industry and direct marketing.
You are a Commercial generalist responsible for leading corporate strategic and tactical legal initiatives to provide effective advice on company strategies and their implementation.
You will be responsible for handling all regional legal matters for Blackout Dev and collaborating with outside counsel as necessary.
Your Legal Counsel will be directly involved in complex business transactions, negotiating critical contracts, writing policies and procedures, preparing legal documents, and investigating / resolving litigation, disputes, and other claims.
Draft and negotiate commercial agreements (employment, sales, product development, vendors, customer, contractor agreements, back-office processes, leases, and IT)
Minimize Blackout Dev legal risks and exposure across company-wide operations activities
Provide legal support for various Operations, Finance, Sales, and Marketing activities
Avoid and resolve litigation, complaints, disputes, and other claims
Manage Blackout Dev intellectual property portfolio and work with marketing and product team to protect product names and new and patentable inventions
Provide legal support to Human Resources on employment and contractor matters.
Manage company liability matters including complex corporate structure strategy and execution, highly confidential projects, and litigation
Negotiate, prepare, and sign off on all marketing related materials including electronic communication to ensure GDPR compliance
Provide comprehensive due diligence for all major company decisions
Minimum 2+ years of experience in private practice, government service, and / or in-house roles
Law degree from an accredited institution and membership in good standing
Uncompromising integrity and high ethical standards personally and professionally
Experience with anti-corruption laws / regulations and international competition laws / regulations
Familiarity with global data privacy laws including the GDPR
Experience counseling business leaders to navigate compliance and legal risks
Superior analytical and technical legal skills, sound judgment, and innovative thinking
