We Offer

As a maternity coverage we are currently looking for a legal specialist to join our IP / Sourcing team (in Wroclaw or Warsaw) which forms part of the IP / Sourcing team in Switzerland.

You will work closely with Swiss qualified lawyers based in Zurich, peers in other regions / locations and other Wroclaw-

based colleagues to help establish and grow a dynamic team. The Legal Intellectual Property / Sourcing Switzerland and European Countries team based in Wroclaw and Warsaw is part of the Bank’s General Counsel division, Corporate Legal Group.

It is composed of three expert lawyers based in Wroclaw and Warsaw and advises on a daily basis the internal stakeholders in all IP and general sourcing related matters.

The team reviews various types of agreements, including both, IT and non-IT aspects, software license agreements, market data license agreements, various services agreements, including cloud-

based services (XaaS). The team provides General Counsel support to Bank’s internal procurement team’s needs for all third party sourcing / supply agreements on either the Bank’s or vendor paper where the governing law is England & Wales, Switzerland or Poland.

Together, the IP / Sourcing team will provide high-quality legal advice to the Sourcing & Vendor Management team mainly in Switzerland but also in other locations who are responsible for preparing and negotiating contracts with third party vendors for the procurement of goods and services.

You will be responsible for :

  • Advising on, reviewing, drafting and negotiating sourcing / supply contracts with external vendors.
  • Advising on legal issues in relation to such contracts, such as confidentiality, intellectual property, liability, indemnification, representations, warranties and termination.
  • Advising on specific Credit Suisse requirements according to internal policies and procedures, such as anti-corruption, background screening of contractors, and outsourcing matters.
  • Identifying and advising on data protection and security issues as part of the sourcing process.
  • Advising on appropriate use of Credit Suisse template agreements, where applicable.
  • Maintaining and further developing our framework of template agreements.
  • Collaborating with General Counsel colleagues from other regions, including EMEA, APAC and the US.
  • Assisting as necessary during request for proposal’ (RFP) processes and sanity-checking statements of work.
  • Asking probing questions in order to understand the bigger contractual picture, such as is there an overriding framework / master agreement, addendum agreement or service order that requires further review.
  • Responding to ad-hoc queries, and working on Credit Suisse internal projects, as and when required.
  • Open to discussing flexible / agile working.

  • You have minimum 3-5 years experience working with commercial or license contracts in an international corporate legal environment.
  • You are excellent in written and spoken English (German would be a strong asset).
  • You present practical and commercial approach to contracting, with a good sense of risk allocation.
