Role Summary

The Commercial Manager is responsible for reviewing, drafting negotiating and concluding contracts for the creation and fostering of long term mutually beneficial relationships with clients and suppliers and the proactive resolution of disputes.

Responsible for recommendations to Divisional Commercial Director on relationships outside of standard terms and or jurisdictions.

Regular governance reporting to the Divisional Commercial Director Commercial Director on contracts of concern.

Responsibilities :

  • Provide proactive legal and commercial support to help designated Capita businesses to achieve their business plans for new business and organic growth, together with effective operational delivery of existing contracts.
  • Drafting, negotiating and concluding mutually beneficial contracts with clients, suppliers and third parties.
  • To review and draft new business contract clauses and schedules and changes to existing business proposals to ensure they comply with the relevant business’ chosen market sector requirements for profit margin, risk appetite and contingency provisions.
  • To own and maintain a library of mutually beneficial clauses and schedules for contracting with clients and suppliers.
  • Liaison with Group Sales and acquisitions teams on due diligence and integration of new business acquisitions into operational Divisions.
  • Ensure that the operational business team members are all aware of and comply with client and regulatory policies including completion of any mandatory training requirements.
  • Deployment of commercial awareness training across the relevant businesses for establishment of safe and commercially viable mutually beneficial business relationships.
  • Reporting to Divisional Commercial Director on progress with growing and harmonising contractual relationships and resolution of differences with clients and suppliers relating to financial viability, profitability, nature and scope of product and service delivery contracts.
  • Any other duties and responsibilities reasonably required that are commensurate with the role.
  • Knowledge and Experience :

  • Three years experience leading long term mutually beneficial legal and commercial relationship negotiations with clients, suppliers and professional intermediaries in appropriate public and private business sectors.
  • Sound working knowledge of the legal and commercial frameworks prevailing in all countries in which they are designated to provide advice for.
  • Leadership of client and key supplier relationships
  • Articulate and numerate drafting, presentation, persuasion and coaching skills in negotiations and sales opportunities
  • Effective risk management processes for regulated and non regulated businesses and to integrate new business contracts and acquisitions
  • Change management of large client and supplier relationships.
  • Sound business, legal, commercial and negotiating acumen

  • Proactive solution oriented attitude and approach to resolve complex business issues
  • Professional integrity and representation of the Division and Group’s interests
